With 2 or more directors on the board representing Kibble and them being employees of that business, we would effectively have paid board members whose only jobs for us are to sit on the board, something I thought would not have happened under the proposed takeover.

With over 75% between smisa and existing fans who own shares nobody but fans can make full decisions and have them passed, 27.5% of shares owned by others means they can block decisions from being passed.
Kibble could replace all existing staff with their own supervisors and trainees and effectively decide how much we pay for maintenance of everything from picking up litter to building new facilities.
Complete fan ownership as promised would never be achieved if this is voted through, GLS always had the ability to sell a percentage of his shares and has obviously decided he will do.
As someone has already said - fan ownership my arse.

As is their usual method of operation, the SMiSA board have informed members of proposals at the very last minute allowed which gives members as little time as possible to mull over the proposal.

Aye and I am sure Kibble only want 27.5%
Over 25%: As expected, a majority shareholding puts the holder in strong position. Do not underestimate however the strength of holding over one quarter of the share capital. With this you can block special resolutions (which require approval of the holders of 75% or more of the share capital

Rendering smisa a puppet regime, who will be under the influence of the investors. Fan ownership my arse.

SMISA will have the funds available in 2023 (3 years away) if their projections (based on membership subscriptions at last years SMISA AGM). As we've been told repeatedly over the past 12 months, there has been no significant drop off in SMISA members. Therefore, with 1250 (or thereabouts) members, SMISA will be able to realise the buyout just short of 4 years ahead of schedule.
Whilst I agree, 51% or 71% makes no great difference in terms of who has the controlling stake in St Mirren FC, I believed the purpose of BTB was to safeguard the club by bringing it into fan ownership. With SMISA members, we are virtually guaranteed St Mirren supporters will form the Club BOD. With 2 representatives from Kibble on the BOD, there is no guarantee of that. Even when vetted by SMISA, I doubt Kibble will have an obligation to have St Mirren fans as their reps on the board. The waters darken.
For me, it's simple, lets keep going for the next 3 years or so under the current arrangement. When SMISA has the finances to buy out GLS' shares, buy him out.
Don't mess about, get it done and get a SMISA appointed BOD in place. There will be no need for Kibble representation on the BoD and there will be more representation from the fans.
Once owned by the fans, The new St Mirren Board can work collaboratively with Kibble for the benefit of both organisations without having to compromise their % of ownership.
I bought into BTB, not a revised BTB that brings in a 3rd party.

There's also a Mutual agreement clause on major decisions that both smisa and the Kibble directors must agree on,  That's not the fan ownership model that was sold to us in 2016. so for that reason (as they say in dragons den) am out,

Why would anyone who chose to watch a Saints game on video or TV need to see any signage. It would be as much of a waste of money as the Graffiti art on the walls which shows images of players, unfortunately the images don't look very much like the players they are meant to portray.

I like that name in bold, very funny. Incidentally i know you are right, i was on the SMiSA committee for a season and a half and during that time was offered a free place in  hospitality on 2 occasions, reason being the tables were not all full and they wanted to make the place look busy. I declined both offers.

I’m fine with that, I’d rather the support on here off decent like minded buddies than be an absolute bum licker of the highest degree. GS could put us in admin and you’d still try and find a positive out it ya wet wipe 😘

The chairman and the board member are embarassing with their current conduct. Offering to fight with a supporter should be a sackable offence and stating that the proceeds (though god knows who would pay to watch) would go to charity - that being the St Mirren charitable trust.
Just give money to the trust and don't bother with a fight.
That charitable trust is very handy though, it's just the right type of trust that could take over from SMiSA if everything goes wrong. I believe they could take control of the SMiSA funds and run the club without input from SMiSA members.

If no one else is interested, I'll be having a chat with a few of my SMISA member mates and the wife will be getting told she is moving back to Scotland sooner.
